Terms of Business

By placing an order with TVD, you confirm that you are in agreement with and will adhere to our terms of business.


Client:- The company or individual requesting the services of TVD.

TVD:- Tom Vardy, trading as Tom Vardy Development.


TVD will carry out work only when an agreement has been reached and the Client has satisfied any terms pertaining to the commencement of a project, including deposits, materials and any access needed. Agreements can be made via email, telephone or face to face.

Website Design

All websites, graphics and programming code remain the property of TVD until all outstanding accounts are paid in full. Any scripts, Applications, software (unless specifically agreed) written by TVD remain the copyright of TVD and may only be commercially reproduced with the permission of TVD.

TVD cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

TVD will correct any error occurring which is found to be the fault of TVD, but reserves the right to charge additional fees for errors caused by Client misuse and neglect. Any additions to the project during development may also incur additional charges.

The Client will make every effort to satisfy any condition set in the agreement, and fully understands that failure to meet these conditions could cause the project timescales and cost to change.

TVD will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.

TVD will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrong doing on the part of a site owner.

TVD will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the clients appointed agents.

TVD will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.

Once a website has been designed and completed the final balance of payment is then due in accordance with our payment terms. There are no exceptions to this. Non-payment will result in legal action being taken if necessary.

Database, Application and E-Commerce Development

The client is expected to test fully any application or programming relating to a site developed by TVD before being made generally available for use. Where "bugs", errors or other issues are found after the site is live, TVD will endeavour (but is not obliged) to correct these issues to meet the standards of function outlined in the agreement.


TVD will endeavour to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with modern browser technologies. TVD can offer no guarantees of correct function with all browser software.

Website Hosting

Whilst TVD recommends hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service and TVD cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

TVD reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the hosting service should the necessity arise.

Payment of Accounts

A minimum of 20% deposit is required from any new or existing client before any work is carried out. It is the policy of TVD that any outstanding account for work carried out by TVD or its affiliates are required to be paid in full, after client approval is acknowledge by the completion of a project sign-off form.

If accounts are not settled within the agreed time frames or TVD have not been contacted regarding the delay, access to the related website will be denied and web pages removed. Non-payment can result in county court judgements (ccjs') being added to the clients' credit rating.

Action will be taken to pursue the outstanding payment, and if necessary legal proceedings will take place.
